Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Portmint website and services (the "Service") provided by Portmint ("Portmint," "we," "us"). By using the Service or purchasing a Portmint plan, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you are authorized to bind it.

1. The Service

Portmint builds and operates a custom, branded AI assistant ("Assistant") for your business, hosted by us and embeddable on your website, and may optionally connect the Assistant to systems you authorize. Features and availability may change as we improve the Service.

2. Pricing & payment

  • Our standard offer is a $2,500 one-time Training & Testing Fee (formerly the "build fee") plus $199 per month, unless we agree otherwise in writing. Custom integrations ("Plus") are quoted separately.
  • The monthly fee is billed in advance and recurs until cancelled. Fees are exclusive of taxes, which you are responsible for.
  • You may cancel the monthly subscription at any time; cancellation stops future monthly charges and the Assistant is deactivated at the end of the paid period. The Training & Testing Fee and amounts already due are non-refundable except as required by law or as expressly agreed.

3. Your content & data

You retain ownership of the information, materials, and brand assets you provide ("Your Content") and of the conversations and data your customers generate through your Assistant. You grant Portmint a worldwide, royalty-free license to host, process, analyze, and use Your Content to provide, secure, operate, and improve the Service, and you further grant Portmint the right to create, use, retain, share, and publish aggregated and de-identified data derived from the Service for any business purpose — including developing, training, and improving our products, systems, and AI models — as described in our Privacy Policy. You are responsible for having the rights, consents, and disclosures needed for the information you provide and for your customers' data.

4. Acceptable use

You must use the Service lawfully and in accordance with our Acceptable Use Policy, which is incorporated into these Terms. You will not misuse the Service, attempt to breach its security, or use the Assistant to do anything illegal, harmful, deceptive, or infringing.

5. Intellectual property

Portmint owns the platform, software, and underlying technology. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. You own your brand and Your Content. The Assistant is branded as yours for display, but the underlying platform remains ours.

6. The AI — important disclaimer

The Assistant uses artificial intelligence and can make mistakes or produce inaccurate or incomplete responses. It is a tool to assist your business and your customers; it is not professional advice (legal, medical, financial, or otherwise). You are responsible for the configuration and oversight of your Assistant and for any actions taken based on its output. Do not rely on the Assistant for decisions that require a qualified professional. Where the Assistant can take actions on connected systems, those actions are limited to the scopes you grant, and money-moving or destructive actions are off by default.

7. Third-party services

The Service relies on third parties (e.g., AI model providers, hosting, payments, and any systems you connect). Your use of those may be subject to their terms, and we are not responsible for third-party services.

8. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR THE ASSISTANT WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ITS OUTPUTS WILL BE ACCURATE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTMINT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO PORTMINT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will defend and indemnify Portmint against claims arising from Your Content, your use of the Service, your customers' data, or your violation of these Terms or applicable law.

11. Termination

You may cancel at any time. We may suspend or terminate access for non-payment, violation of these Terms or the Acceptable Use Policy, or to comply with law. On termination, your right to use the Service ends; we will, on request and within a reasonable period, return or delete your data as described in the Privacy Policy.

12. Changes to these Terms

We may update these Terms. Material changes will be posted here with an updated date and, where required, additional notice. Continued use after changes means you accept them.

13. Governing law & disputes

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws rules. The state and federal courts located in New York will have jurisdiction, unless otherwise required by applicable law.
